These Terms of Use (or “Terms”) govern your use of Howly, except where we expressly state that separate terms (and not these) apply, and provide information about the Howly Service (the “Service”), outlined below. When you create a Howly account or use Howly, you agree to these terms. The Howly Service is one of the Cuyo Innovation Valley SA Products, provided to you by Cuyo Innovation Valley SA. These Terms of Use therefore constitute an agreement between you and Cuyo Innovation Valley SA.
The Howly Service
We agree to provide you with the Howly Service. The Service includes all of the Howly products,
features, applications, services, technologies, and software that we provide to advance Howly's
mission: To give people the power to connect and share with true freedom. The Service is made up of
the following aspects:
Providing personalized opportunities for creation, connection, communication, exploration, and
sharing. We offer various account types and features to assist you in creating, sharing, expanding
your presence, and engaging with others on Howly.
We develop and utilize tools and provide resources to our community members to enhance their
positive and inclusive experiences, especially when assistance may be needed. Additionally, we
maintain dedicated teams and systems to combat abuse, violations of our terms and policies, and
harmful or deceptive behavior.
Employing technologies that enable us to consistently serve our expanding community.
Central to our Service is the organization and analysis of information for our growing community. A
significant aspect of our approach involves leveraging advanced technologies to personalize,
safeguard, and enhance our Service on a large scale for a diverse global community. Automated
technologies also play a crucial role in ensuring the functionality and integrity of our Service.
We utilize Howly data to display ads, offers, and sponsored content that we believe are relevant to
you. Our aim is to ensure this content is as pertinent as your other experiences on Howly.
We use available data to analyze our Service and collaborate with others on research to improve our
Service and contribute to community well-being.
Service Funding
Rather than charging for access, our Service is sustained through ads paid for by businesses and
organizations. This funding model allows us to maintain our commitment to providing a free and
inclusive experience for all users on Howly.
We respect your privacy by not disclosing personal information to advertisers. Instead, advertisers
share their business goals and target audience preferences with us. We then deliver ads to relevant
community members who may find them valuable.
Additionally, we provide advertisers with detailed reports on ad performance to help them better
understand audience interactions both on and off Howly. This includes general demographic and
interest data to aid in optimizing their campaigns. We do not share personally identifiable
information unless explicitly authorized by you.
Branded Content
You may encounter branded content on Howly posted by account holders promoting products or services through commercial partnerships with the mentioned business partners.
Privacy Policy
To use Howly, you must agree to our Privacy Policy, which outlines how we collect, use, and share information necessary to provide our Service.
Your Commitments
In exchange for our commitment to provide the Service, we ask you to make the following commitments
to us.
We aim for our Service to be as open and inclusive as possible, while also ensuring it remains safe,
secure, and compliant with the law. Therefore, we ask you to agree to a few restrictions to join the
Howly community:
- You must be at least 16 years old, or the minimum legal age in your country, to use Howly.
- You must not be prohibited from receiving any aspect of our Service under applicable laws or engaging in payment-related services if you are on a relevant denied party listing.
- Your account must not have been previously disabled by us for violations of the law or any of our policies.
- You must not be a convicted sex offender.
Prohibited Uses of Howly
Maintaining a safe and inclusive environment for our diverse community requires collective
responsibility.
You may not impersonate others or provide false information.
While anonymity is allowed, you must provide accurate and current information (including during
registration), which may include personal data. Creating an account for someone else is prohibited
without explicit permission
Engaging in unlawful, deceptive, fraudulent, or unauthorized activities is strictly forbidden.
Violating (or assisting others in violating) our Terms or policies is not permitted.
Posting branded content is prohibited.
Any actions that disrupt or impair the intended operation of the Service are prohibited.
Misusing reporting, dispute, or appeals channels (such as by making fraudulent or unfounded reports
or appeals) is strictly prohibited.
Unauthorized attempts to create accounts, access, or collect information are not allowed.
This includes automated account creation or information collection without our explicit
permission.
Selling, licensing, or purchasing any account or data obtained from us or our Service is prohibited.
This includes attempting to buy, sell, or transfer any aspect of your account (including your
username), soliciting or collecting login credentials or badges of other users, or requesting or
collecting Howly usernames, passwords, or access tokens.
Posting private or confidential information of others without permission or engaging in activities
that violate others' rights, including intellectual property rights (e.g., copyright infringement,
trademark infringement, counterfeit goods, or piracy), is prohibited.
You may use others' works under exceptions or limitations to copyright and related rights under
applicable law. You represent that you own or have obtained all necessary rights to the content you
post or share.
Modifying, translating, creating derivative works of, or reverse-engineering our products or their
components is prohibited.
Using a domain name or URL in your username without our prior written consent is not allowed.
Permissions Granted to Us
As part of using our Service, you grant us permissions necessary to provide the Service.
We do not claim ownership of your content, but you grant us a license to use it.
Your rights to your content remain unchanged. You retain ownership of your content that you post on
or through the Service, and you are free to share your content with anyone, anywhere you choose.
However, to provide the Service, we require certain legal permissions from you (referred to as a
"license"). When you share, post, or upload content that is protected by intellectual property
rights (such as photos or videos) on or in connection with our Service, you grant us a
non-exclusive, royalty-free, transferable, sublicensable, worldwide license to host, use,
distribute, modify, execute, copy, publicly perform or display, translate, and create derivative
works of your content (in line with your privacy and application settings). This license terminates
when your content is deleted from our systems. You can delete content individually or entirely by
deleting your account.
Permission to use your username, profile picture, age, gender information, actions within
communities, ads, and sponsored content.
You grant us permission to display your username, profile picture, and information about your
actions (such as likes) or connections (such as follows) alongside or in connection with accounts,
ads, offers, and other sponsored content that you interact with or follow, without any compensation
to you.
You agree that we can download and install updates to the Service on your device.
Additional Rights Retained by Us
If you choose a username or similar identifier for your account, we may change it if we deem it
necessary or appropriate (e.g., if it infringes on someone's intellectual property rights or
impersonates another user).
If you use content protected by intellectual property rights that we provide and make available in
our Service (e.g., images, designs, videos, or sounds that we provide for you to add to content you
create or share), we retain all rights to our content (excluding yours).
Use of our intellectual property, trademarks, or similar marks is only permitted with our prior
written consent.
To modify, create derivative works of, decompile, or attempt to extract source code from us, you
must obtain written permission from us or do so under an open-source license.
Content Removal, Account Disabling, and Termination
We reserve the right to remove any content or information you share on the Service if we believe it
violates these Terms of Use or our policies, or if required or permitted by law. We may refuse to
provide or cease providing all or part of the Service to you (including terminating or disabling
your access to Cuyo Innovation Valley SA Products) immediately to protect our community or services,
or if your actions pose risk or legal exposure for us, violate these Terms of Use or our policies,
or if you repeatedly infringe others' intellectual property rights, or where required or permitted
by law. We may also terminate or modify the Service, remove or block shared content or information
from our Service, or cease providing all or part of the Service if we determine that such action is
reasonably necessary to prevent or mitigate adverse legal or regulatory impacts on us. If you
believe your account has been mistakenly terminated or wish to disable or permanently delete your
account, please contact us. Content or account deletion requests initiate automatically within 30
days of your request. It may take up to 90 days to fully delete content after the deletion process
begins. During this deletion process, the content is no longer visible to other users but remains
subject to these Terms of Use and our Data Policy. After deletion, it may take up to an additional
90 days to remove content from backups and disaster recovery systems.
Content will not be deleted within 90 days in the following circumstances:
- When your content has been used by others under this license and has not been deleted (in which case this license remains valid until such content is deleted);
- When deletion within 90 days is technically impossible due to our systems' limitations, in which case, deletion will be completed as soon as technically feasible;
- When deletion would impede our ability to investigate or identify illegal activities or violations of our terms and policies (e.g., to investigate or identify misuse of our products or systems);
- When deletion is necessary to protect the safety and security of our products, systems, and users;
- When required to comply with a legal obligation, such as preserving evidence; or
- When required to comply with a request from a judicial or administrative authority, law enforcement agency, or government agency. In such cases, content will be retained only for as long as necessary for the purposes for which it was retained (the exact duration will vary case by case).
Upon account deletion or disabling, these Terms cease to govern the agreement between you and us. However, the sections titled "Our Agreement" and "Disputes" below will continue to apply even after your account is terminated, disabled, or deleted.
Our Agreement and Dispute Resolution
- Our Agreement: If any part of this agreement is unenforceable, the rest remains in effect. Any amendment or waiver to this agreement must be in writing and signed by us. Our failure to enforce any part of this agreement does not constitute a waiver. We reserve all rights not expressly granted to you. This agreement does not confer rights on any third parties. You may not transfer your rights or obligations under this agreement without our consent. We may assign our rights and obligations to others, such as through a change in ownership (e.g., merger, acquisition, or sale of assets) or as required by law.
- Responsibility: Our Service is provided "as is," and we cannot guarantee its safety, security, or flawless operation at all times. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not control the actions or statements of others and are not responsible for their (or your) conduct (whether online or offline) or content (including illegal or objectionable content). Additionally, we are not responsible for services or features offered by third parties or companies, even if accessed through our Service. Our liability for any issues arising on the Service (referred to as "liability") is limited to the extent permitted by law. We are not liable for any lost profits, revenues, information, or data, or for consequential, special, indirect, exemplary, punitive, or incidental damages arising from or related to these Terms, even if we were aware of the possibility of such damages. This includes situations where we delete your content, information, or account.
- Dispute Resolution: If you are a consumer, the laws of your country of residence govern any claim, cause of action, or dispute arising from or related to these Terms ("claim"), and you may resolve your claim in any competent court in that country having jurisdiction over the claim. In all other cases, you agree that any claim must be resolved exclusively in the District Court of Mendoza, Argentina. You submit to the personal jurisdiction of these courts for the purpose of litigating any such claim and agree that Argentine law governs these Terms and any claim, without regard to conflict of law provisions. Notwithstanding the above, Cuyo Innovation Valley SA may, at its sole discretion, bring any claim against you related to attempts to abuse, interfere with, or improperly engage with our products in unauthorized ways in your country of residence having jurisdiction over the claim.
- Unsolicited Material: While we appreciate feedback or other suggestions, we may use them without restriction or obligation to compensate you, and we are under no obligation to keep them confidential.
Updating These Terms
We may update our Service and policies, and we may need to modify these Terms to accurately reflect
our Service and policies. Unless required by law, we will notify you (e.g., through our Service)
before implementing changes to these Terms, giving you an opportunity to review them before they
take effect. By continuing to use the Service, you agree to be bound by the updated Terms. If you do
not wish to accept these or any updated Terms, you may delete your account.
